Terms & Conditions

This Terms & Conditions document sets out the basis on which McCullagh Electrical Ltd (“we”, “us”, or “our”) provides our services to clients. By engaging with our services, the Client agrees to be bound by these Terms.

‍1. Interpretation

1.1 “Company” refers to McCullagh Electrical Ltd of Company No. NI679990 and registered address 5a Mulnavoo, Draperstown, Derry, BT45 7LP. 

1.2 “Client” means the person, firm or company to whom the Company supplies Services and/or materials.

1.3 “Services” means all electrical works and associated services provided by the Company.

1.4 “Contract” means the agreement between the Company and the Client for the supply of the Services, incorporating these terms and conditions.

2. Basis of Contract

2.1 These Terms shall apply to all quotations, offers, and Contracts between the Company and the Client to the exclusion of any other terms the Client seeks to impose.

2.2 No variation of these Terms shall be binding unless agreed in writing by a director of the Company.

3. Quotations and Orders

3.1 Quotations are valid for 14 days unless otherwise stated.

3.2 All quotations are subject to site survey and availability of materials and labour.

3.3 The Company reserves the right to amend any quotation if the scope of work changes or additional requirements are identified.

3.4 The Company shall be under no obligation to begin work until a Purchase Order has been raised by the Client and a commencement date has been agreed between the parties.

4. Price and Payment

4.1 Prices are exclusive of VAT unless otherwise stated.

4.2 The Company is entitled to issue interim applications or invoices every 14 days. This entitlement exits regardless of the duration (or anticipated duration) of the Services.  

4.3 Payment terms (i.e the final date for payment) is strictly 14 days from date of invoice or application by the Company.

4.4 The Company reserves the right to charge interest on overdue invoices at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.5 Retention or set-off by the Client is not permitted unless agreed in writing by the Company.

4.6 The Company is entitled to apply a 20% mark up on all products and materials provided.

4.7 The Company shall be entitled to reimbursement of any increase in the cost of goods or materials where such increase arises due to market fluctuations.

5. Variations

5.1 The Company shall be entitled to additional payment and to a reasonable extension of time when it carries out variations.

5.2 The Company is under no obligation to act upon verbal instructions.

5.3 Verbal instructions from the Client, their agent or any person that the Company reasonably believes to be representing them, will be treated as a variation if acted upon by the Company.

5.4 The Company has a reasonable right to object to carry out variations and shall be under no obligation to carry out variations if it reasonably believes that any payment is outstanding.

 6. Programme and Delays

6.1 The Company shall use reasonable endeavours to meet any agreed completion dates but shall not be liable for delays caused by factors beyond its control.

6.2 Any delays caused by the Client or third parties or due to any cause beyond the Company’s control, will entitle the Company to an extension of time and to reimbursement of all additional costs, losses and expenses incurred.

7. Information

7.1 The Company is entitled to rely upon the accuracy of any drawings, survey or information provided by the Client.

7.2 Should any survey, drawing or information supplied by the Client turn out to be inaccurate, the Company shall be entitled to any resulting extension of time and to all costs, losses and expenses incurred as a result of such inaccuracy.

8. Health & Safety

8.1 The Company shall carry out its work in accordance with relevant health and safety legislation.

8.2 The Client shall provide a safe and suitable working environment, including uninterrupted access to all necessary areas.

9. Title and Risk

9.1 Risk in materials supplied shall pass to the Client upon delivery to site.

9.2 Title shall not pass to the Client until full payment has been received by the Company.

10. Defects and Liability

10.1 The Company is not liable for defects caused by misuse, third-party damage or lack of maintenance.

10.2 The Company’s liability shall be limited to 50% of the value of the Contract. Under no circumstances shall the Company be liable for indirect, special, or consequential loss.

10.3 The Company does not guarantee the performance of any goods, materials or products.

11. Suspension

11.1 If the Client fails to pay on time any sum which is payable to the Company, including, but not limited to, any sum which the Company reasonably believes to be owed, then the Company shall be entitled to suspend performance of the Services immediately upon notice to the Client.

11.2 Suspension under this clause shall continue until payment is received in full.

11.3 Suspension shall not constitute a breach of contract. The Company shall be entitled to an extension of time and to recover all reasonable costs incurred as a result of suspension.

11.4 The right to suspend under this clause is in addition to, and not dependent on, any statutory rights under the Construction Contracts (Northern Ireland) Order 1997 (as amended).

12. Termination

12.1 The Company may terminate the Contract immediately in writing if the Client commits a material breach and fails to remedy it within 14 days. Non-payment by the Client is a material breach. 

12.2 The Company may terminate the Contract immediately if the Client becomes insolvent or it has seasonable cause to believe that the Client may become insolvent.

13. Governing Law

13.1 This Contract shall be governed by and construed in accordance with the laws of Northern Ireland.

13.2 Any disputes shall be subject to the exclusive jurisdiction of the Northern Irish courts.
